## 1. Acceptance of Terms
By accessing or using the OutdoorBoost AI platform, including OutdoorShifts.com and any associated booking widgets, mobile applications, APIs, or other services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Services.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Outdoor Boost AI LLC ("OutdoorBoost AI," "we," "our," or "us"). By creating an account, making a booking, listing services, or otherwise using our platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
---
## 2. Account Registration
### 2.1 Creating an Account
To access most features of the Services, you must create an account. Account registration and authentication is managed through Clerk, our identity and access management provider. We support:
- Email and password registration
- Single Sign-On (SSO) via supported identity providers (Google, Apple, and others)
- Multi-Factor Authentication (MFA), which may be required for certain account types
You agree to provide accurate, current, and complete information during registration and to update that information as needed to keep it accurate.
### 2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password
- Enable MFA when available or required
- Notify us immediately at support@outdoorboost.ai if you suspect unauthorized access to your account
- Not share your login credentials with others
We are not liable for any loss resulting from unauthorized use of your account where you failed to maintain reasonable security precautions.
### 2.3 Account Types
We offer different account types:
- **Business Accounts**: For outdoor recreation businesses using our booking platform or hiring through OutdoorShifts
- **Customer Accounts**: For individuals booking activities, tours, or experiences
- **Professional/Worker Accounts**: For outdoor professionals (guides, instructors, staff) listing services or seeking work on OutdoorShifts
Certain features and permissions are specific to each account type.
### 2.4 Account Termination by User
You may close your account at any time by contacting us at support@outdoorboost.ai. Account closure does not automatically cancel pending bookings, active contracts, or outstanding payments.

## 3. Description of Services
OutdoorBoost AI operates two primary platforms:
### 3.1 Booking Platform
Our booking platform enables outdoor recreation businesses — including tour operators, rafting outfitters, climbing gyms, ski resorts, and similar businesses — to accept online reservations and payments, manage availability and resources, process digital waivers, and communicate with customers. Our booking tools include:
- Embeddable booking widgets for business websites
- A public booking API for integration with third-party tools
- Availability and resource management systems
- Dynamic AI-powered pricing recommendations
- AI chatbot assistance for customer inquiries
- Digital waiver collection and management
- Multi-channel notifications (email, SMS, push)
- Revenue analytics and reporting
Businesses using our booking platform are solely responsible for the accuracy of their listings, pricing, availability, safety practices, required licenses, insurance coverage, and compliance with applicable laws.
### 3.2 OutdoorShifts.com — Gig Marketplace
OutdoorShifts is a marketplace connecting outdoor recreation professionals (ski instructors, rafting guides, climbing instructors, hiking guides, and similar outdoor professionals) with seasonal and part-time work opportunities at outdoor businesses.
OutdoorBoost AI is a technology platform only. We do not employ the workers who use OutdoorShifts, and we do not operate the outdoor businesses that post opportunities. See Section 8 for Gig Marketplace Terms.
### 3.3 AI-Powered Features
The Services include AI-powered features such as chatbots, automated recommendations, dynamic pricing suggestions, and content generation. These features are powered by large language models including those provided by Anthropic (Claude), OpenAI, and Google Gemini. See Section 7 for AI-related disclaimers.
### 3.4 Service Changes
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
### 3.5 SMS and AI Operator Messaging
If you affirmatively opt in through a separate SMS/text consent checkbox that is unchecked by default and that you actively select, or through another disclosed opt-in method, OutdoorBoost AI and the activity provider associated with your booking may send transactional text messages about booking confirmations, reminders, schedule or safety updates, support follow-ups, verification codes, and secure payment links.
Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of purchase. Reply **STOP** to opt out at any time or **HELP** for help. You may also contact support@outdoorboost.ai. Carriers are not liable for delayed or undelivered messages.
Authorized business operators may initiate a conversation with the OutdoorBoost AI operator by texting the dedicated operator number. The inbound message authorizes replies within that conversation only; it does not authorize unsolicited or recurring outreach. See our Privacy Policy for how we protect SMS opt-in data and consent.
---
## 4. Payment Terms
### 4.1 Payment Methods
We accept payment through:
- **Credit and debit cards** processed through Stripe, Inc.
- **Cryptocurrency** processed through Coinbase Commerce
By providing payment information, you authorize us (and our payment processors) to charge the applicable fees. All transactions are subject to the terms of the applicable payment processor.
### 4.2 Booking Fees and Pricing
The price displayed for each activity, tour, or service on OutdoorBoost AI is the **total mandatory price** for that booking, except for government-imposed taxes (which are itemized separately at checkout in compliance with applicable law). The displayed price includes any OutdoorBoost AI platform service fees, booking fees, or processing fees that apply to the transaction.
Optional add-ons selected by the consumer — such as gratuities, equipment-protection plans, or insurance — are added to the displayed price only when the consumer affirmatively selects them, and are itemized at the point of selection.
Prices for activities, tours, and services are set by the businesses on our platform. Businesses are responsible for ensuring their listed prices comply with applicable laws.
_This Section reflects compliance with California Business and Professions Code (Civil Code § 1770(a)(29), as amended by SB 478, effective July 1, 2024) and Colorado HB25-1090 (effective January 1, 2026)._
### 4.3 Taxes
Government-imposed sales taxes, occupancy taxes, or other government-imposed transactional taxes are calculated against the displayed activity price and shown as a separate line item at checkout, in compliance with California Business and Professions Code, Colorado HB25-1090, and other applicable consumer-protection statutes that exempt government taxes from all-in-pricing requirements. Businesses are responsible for collecting and remitting any applicable taxes for their services. OutdoorBoost AI is not responsible for determining tax obligations for individual business listings.
### 4.4 Currency
All transactions are processed in US Dollars (USD) unless otherwise specified. Cryptocurrency transactions are converted at the exchange rate provided by Coinbase Commerce at the time of transaction.
### 4.5 Payment Security
Payment card information is processed by Stripe and is not stored on OutdoorBoost AI servers. We are not responsible for errors, failures, or security incidents caused by payment processors. Cryptocurrency transactions are irreversible once confirmed on the blockchain.
### 4.6 Disputes and Chargebacks
If you believe a charge is incorrect, contact us at support@outdoorboost.ai before initiating a chargeback with your payment provider. Unauthorized chargebacks may result in account suspension.
---
## 5. Cancellation and Refund Policies
### 5.1 Activity Bookings — Customer Cancellations
Cancellation and refund policies for individual activities and tours are set by each business listing the service. These policies are displayed on the booking page and during checkout. By completing a booking, you agree to the cancellation policy applicable to that booking.
OutdoorBoost AI is not responsible for enforcing or overriding a business's cancellation policy. Disputes regarding refunds for a specific booking should be directed first to the business, then to our support team at support@outdoorboost.ai.
### 5.2 Business Cancellations
If a business cancels a confirmed booking, customers are generally entitled to a full refund to their original payment method. Processing times depend on the payment method:
- Credit/debit card refunds: typically 5–10 business days
- Cryptocurrency refunds: issued in USD equivalent or as agreed with the business at time of cancellation; blockchain confirmation times vary
### 5.3 Platform Fee Refunds
When a booking is cancelled by the business, by OutdoorBoost AI, or because of a verified platform error, the consumer is entitled to a **full refund**, including any portion of the price attributable to OutdoorBoost AI platform service fees, booking fees, or processing fees. No portion of the price is retained by OutdoorBoost AI in those circumstances.
When a booking is cancelled by the consumer, the refund is governed by the cancellation policy displayed for that booking at the time of purchase. Where the displayed cancellation policy provides for a partial refund, the refunded amount is calculated against the displayed total price (which includes platform service fees), so that the consumer receives a proportional refund of the platform's portion of the price.
Refunds are issued to the original payment method.
### 5.4 OutdoorShifts — Worker and Business Cancellations
Cancellation policies for gig marketplace engagements are governed by the terms of the specific engagement. Workers and businesses are encouraged to establish clear cancellation terms in their agreements. OutdoorBoost AI is not responsible for disputes arising from cancellation of gig engagements.
### 5.5 Force Majeure
No refund obligations are triggered by events outside either party's reasonable control, including but not limited to natural disasters, extreme weather events, government orders, or other force majeure events, except as required by applicable law or as stated in the business's individual cancellation policy.

## 6. Outdoor Activity Risk Acknowledgment
### 6.1 Nature of Outdoor Activities
Outdoor recreation activities — including but not limited to rafting, rock climbing, skiing, snowboarding, hiking, mountain biking, kayaking, and similar activities — involve inherent risks of physical injury, death, or property damage. These risks exist even when activities are conducted by experienced and qualified guides and instructors with appropriate safety equipment.
### 6.2 Assumption of Risk
By booking or participating in any outdoor activity through our platform, you acknowledge and voluntarily assume all risks associated with that activity, to the fullest extent permitted by applicable law. This includes risks arising from:
- The inherent nature of the activity
- Weather and environmental conditions
- Equipment failure
- Actions of other participants
- The negligence of guides, instructors, or other third parties (to the extent permitted by law)
### 6.3 Digital Waivers
Many activities listed on our platform require participants to complete a digital liability waiver before participating. These waivers are a legal requirement by the business offering the activity. You must complete all required waivers honestly and accurately. Falsification of waiver information may void your participation rights and any claims you might otherwise have.
### 6.4 Health and Physical Requirements
You are responsible for ensuring that you and any participants in your party meet the physical, health, and age requirements stated in the activity listing. Consult with a physician before participating in strenuous physical activities if you have any health concerns.
OutdoorBoost AI does not independently verify the accuracy or safety standards of any activity listing. We strongly encourage you to research activities and providers independently before booking.

These features are powered by third-party large language models including those from Anthropic (Claude), OpenAI, and Google (Gemini). AI model availability may change at any time.
### 7.2 AI Accuracy Disclaimer
AI-generated content may contain errors, inaccuracies, or outdated information. AI chatbot responses and recommendations:
- Are not a substitute for professional advice (medical, legal, safety, financial)
- May not reflect real-time availability, pricing, or conditions
- Should be verified with the relevant business before relying on them for decisions
OutdoorBoost AI does not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular purpose.
### 7.3 No Professional Advice
Nothing generated by our AI systems constitutes legal, medical, safety, financial, or professional advice. For safety-critical decisions regarding outdoor activities, always consult qualified professionals and follow the guidance of your activity provider.
### 7.4 AI Data Handling
We do not use your personal data to train AI models provided by third-party AI providers. See our Privacy Policy for details on how AI providers process data.

## 8. Gig Marketplace Terms (OutdoorShifts)

**Businesses and workers using OutdoorShifts independently agree that:**
- Workers are engaged as independent contractors, not employees
- Businesses are responsible for proper worker classification under applicable federal and state law, including IRS rules and applicable state labor laws
- OutdoorBoost AI does not control, supervise, or direct the work performed
- OutdoorBoost AI does not provide benefits, workers' compensation (except as required by law), unemployment insurance, or payroll tax withholding for workers engaged through OutdoorShifts

### 8.2 Worker Responsibilities
Workers using OutdoorShifts agree to:
- Provide accurate information about qualifications, certifications, and experience
- Maintain any required certifications (e.g., CPR, wilderness first aid, guide certifications) in good standing
- Conduct themselves professionally and safely

Businesses using OutdoorShifts agree to:
- Provide accurate job descriptions, requirements, and pay rates
- Maintain appropriate liability insurance and workers' compensation insurance as required by law
- Provide a safe working environment
- Comply with applicable labor and employment laws
- Evaluate workers' suitability independently — OutdoorBoost AI does not guarantee the qualifications of any worker
### 8.4 Background Checks and Verification
OutdoorBoost AI may facilitate optional background checks or credential verification services through third-party providers, but does not independently guarantee the accuracy of any background check or verification result. Businesses are responsible for making their own employment and engagement decisions.
### 8.5 Payments and Payouts
Payment terms for OutdoorShifts engagements are set between workers and businesses. OutdoorBoost AI may facilitate payments through the platform for a fee. Workers are responsible for all applicable taxes on income earned through OutdoorShifts.
### 8.6 Ratings and Reviews
OutdoorBoost AI includes rating and review features on the BaseCamp Bookings platform and OutdoorShifts. Reviews must be honest, factual, and based on the reviewer's genuine experience.
**Permitted Review Removals Only (16 CFR § 465.7)**
OutdoorBoost AI may remove a review only if the review is: (a) defamatory, harassing, or obscene; (b) contains a clearly false factual statement that the reviewer knew or should have known was false; (c) is reasonably believed to be a fake review (e.g., generated by AI without disclosure, paid without disclosure, written by a person who did not have the experience described); or (d) is materially off-topic, unrelated to the activity or business reviewed. Reviews may NOT be removed solely because they are negative, give a low rating, or are unflattering to the operator.
**No Review Gating**
Operators may not use OutdoorBoost AI tools to selectively solicit reviews from customers based on satisfaction, NPS, sentiment, or any other proxy for likely review valence. Operators must request reviews from all customers equivalently or from no customers.
**Appeals**
Users who believe a review was improperly removed may contact support@outdoorboost.ai with the review ID. Operators who believe a review qualifies for removal must submit a written request to support@outdoorboost.ai with supporting evidence; OutdoorBoost AI will evaluate within 10 business days.
_This Section reflects compliance with 16 CFR Part 465 (FTC Rule on Deceptive or Unfair Review and Testimonial Practices, effective October 21, 2024). See `docs/legal/REVIEW_INTEGRITY_POLICY.md` for the full platform policy._

## 12. Subscription Auto-Renewal, Cancellation, and Termination
### 12.1 Operator Subscription Auto-Renewal (CA AB 2863 / CO SB25-145)
OutdoorBoost AI offers subscription-based access to the BaseCamp Bookings platform to outdoor recreation businesses ("operators") at published monthly or annual rates. **Operator subscriptions automatically renew** at the end of each billing period (monthly or annually, as selected at sign-up) at the then-current subscription rate unless cancelled before the renewal date.
**Clear Disclosure Before Billing Confirmation**: Prior to confirming billing information at sign-up, operators are shown a clear and conspicuous auto-renewal disclosure that states the renewal frequency, exact renewal amount, and how to cancel. Proceeding past that disclosure constitutes affirmative consent to the auto-renewal terms.
**Annual Renewal Reminders**: For annual subscriptions, OutdoorBoost AI will send a renewal reminder email to the operator's billing email address approximately 30 days before the annual renewal charge (within a ±1 day scheduling window). This reminder will include the renewal amount, the renewal date, and a direct link to the cancellation flow.
**Price Changes**: If OutdoorBoost AI increases the subscription price for an operator's plan, the operator will receive advance email notice at least 14 days before the new price takes effect. The operator may cancel before the new price applies without penalty.
### 12.2 Operator Self-Service Cancellation (One-Click Cancel)
**You may cancel your operator subscription at any time via Settings → Billing → Cancel Subscription** in your operator dashboard at [app.booking.outdoorboost.ai](https://app.booking.outdoorboost.ai). This is a one-click mechanism available in the operator dashboard — no email or phone call is required.
Cancellation takes effect at the end of your current billing period. You will retain full access to the platform until that date and will not be charged for the next renewal cycle. We will send a cancellation confirmation email to your billing email address upon request.
You may also cancel by emailing billing@outdoorboost.ai. We will process emailed cancellation requests within two business days and confirm via email.
### 12.3 Termination by OutdoorBoost AI
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or harmful activity
- Failure to pay amounts owed
- At our sole discretion for business reasons
### 12.4 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- Pending bookings may be cancelled or transferred per our support team's discretion
- Outstanding payment obligations remain in effect
- Provisions that by their nature should survive termination (including Sections 6, 7, 9, 10, 13, and 14) will survive
### 12.5 Appeals
If you believe your account was terminated in error, contact us at support@outdoorboost.ai within 30 days of termination.

If informal resolution fails within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual consumers) or Commercial Arbitration Rules (for businesses), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
### 13.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION IN CONNECTION WITH ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICES.

For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state or federal courts located in Denver, Colorado.
### 13.5 Time Limitation

### 14.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and OutdoorBoost AI regarding the Services and supersede all prior agreements.
### 14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
### 14.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
### 14.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
### 14.5 Modifications to Terms
